This User Agreement and all documents expressly incorporated by reference, including but not limited to the Privacy Policy, Risk Disclosure, Disclaimer, Community Sale Terms, Airdrop Rules, Points Rules, Node Rules, Referral Rules, and other applicable documents, are collectively referred to as "this Agreement" or the "Terms."
This Agreement is entered into between you and the relevant operating entity of Kelly Protocol and governs your rights, obligations, and restrictions when accessing, browsing, connecting to, or using the Kelly Protocol official website, DApp, application, social media pages, community pages, smart contracts, prediction ecosystem, AI cognitive engine, dual-token ecosystem, node system, and other related products or services.
Please read and fully understand this Agreement before using Kelly Protocol-related services. By clicking "I Agree," connecting a wallet, accessing the official website, using the DApp, participating in the prediction ecosystem, participating in nodes, participating in the points program, participating in airdrops, participating in community activities, subscribing to or receiving any ecosystem tokens, or otherwise using Kelly Protocol-related services, you signify that you have read, understood, and agree to be bound by this Agreement.
If you do not agree to any provision of this Agreement, you must immediately stop accessing or using Kelly Protocol-related services.
This Agreement applies to all of your conduct in using Kelly Protocol and its related services, including but not limited to:
Accessing the Kelly Protocol official website, documentation pages, activity pages, or community pages;
Connecting a wallet, signing authorizations, invoking smart contracts, or engaging in on-chain interactions;
Using the Kelly Protocol DApp, application, interface, SDK, API, or other technical tools;
Participating in the Kelly Protocol prediction ecosystem, cognitive contribution, AI cognitive engine, ecosystem points, contribution value, leaderboards, or community interaction features;
Participating in activities related to KELL, KELP, or other Kelly Protocol ecosystem tokens;
Participating in community sales, public sales, airdrops, referral programs, node activities, or other ecosystem building plans;
Using third-party wallets, trading platforms, data platforms, identity verification services, on-chain browsers, or other external services associated with Kelly Protocol.
This Agreement does not replace any written agreement separately signed between you and Kelly Protocol or any third party. If there is a conflict between this Agreement and specific activity rules, sale terms, airdrop rules, node rules, or other special agreements, the provisions of that special document shall prevail regarding the relevant matters.
Kelly Protocol is an on-chain financial ecosystem protocol that uses the prediction ecosystem as its primary entry point, AI to identify cognitive value, and DeFi to build value circulation. Kelly Protocol may include, but is not limited to, the following modules:
Prediction Ecosystem: Users can participate in cognitive judgment, prediction interaction, or related ecosystem activities around market trends, hot events, macroeconomic information, on-chain data, technology trends, and other open topics.
AI Cognitive Engine: Kelly Protocol may use algorithmic models, data analysis, behavior recognition, and risk control systems to analyze user participation behavior, cognitive contribution, ecosystem contribution, abnormal behavior, and protocol operating status.
Dual-Token Ecosystem: Kelly Protocol may build functions around KELL, KELP, or other ecosystem tokens for value absorption, ecosystem circulation, incentive distribution, auxiliary protocol governance, ecosystem applications, and other features. Specific functions are subject to the official whitepaper, token documentation, contract descriptions, and announcements.
Node Network: Kelly Protocol may establish global nodes, community nodes, ecosystem nodes, service nodes, or other collaborative networks for community building, ecosystem promotion, protocol coordination, technical services, or application expansion.
DeFi Application Ecosystem: Kelly Protocol may explore and expand applications around lending, RWA, digital rights, asset management, market making, risk control, liquidity management, ecosystem cooperation, and other financial applications.
Community and Activity System: Kelly Protocol may introduce points programs, contribution value systems, referral programs, airdrop activities, community tasks, education and training, leaderboards, or other ecosystem interaction mechanisms.
Kelly Protocol may still be in the development, testing, iteration, or gradual deployment phase. Some functions may not yet be launched, may be adjusted, suspended, terminated, or may differ from initial plans. You understand and agree that Kelly Protocol does not guarantee that any functions, roadmap, ecosystem planning, token functionality, market performance, or protocol deployment outcomes will be realized.
By using Kelly Protocol-related services, you represent and warrant that:
You have reached the legal age of majority in your jurisdiction and possess full legal capacity to enter into and perform this Agreement;
You are not a citizen, resident, tax resident, person located in, or a person subject to legal restrictions of any Restricted Jurisdiction;
You are not listed on any sanctions list, embargo list, terrorist financing list, anti-money laundering high-risk list, or other restricted list;
Your use of Kelly Protocol-related services does not violate any law, regulation, regulatory requirement, court order, or administrative order of your country or region;
If you are using Kelly Protocol services on behalf of a legal entity, organization, community, institution, or other entity, you have obtained full authorization and have the authority to bind that entity to this Agreement.
Kelly Protocol has the right to refuse, restrict, suspend, or terminate any user's access to or use of related services based on applicable laws, compliance requirements, risk control, sanctions screening, geographical restrictions, identity verification, or internal audit results.
Kelly Protocol-related services, community sales, public sales, airdrops, node activities, referral programs, points programs, or other ecosystem activities are not open to users in Restricted Jurisdictions.
Restricted Jurisdictions include, but are not limited to:
Countries and regions subject to international sanctions, financial embargoes, cryptocurrency restrictions, or related legal restrictions;
Any jurisdiction where participating in related services, token sales, airdrops, DeFi activities, prediction activities, or digital asset activities is illegal, violates regulations, or requires prior permission that the user has not obtained;
Other restricted regions specified by Kelly Protocol in relevant activity rules, sale terms, public announcements, or compliance documents.
If you are located in a Restricted Jurisdiction or are otherwise prohibited by applicable law from participating in related activities, you must not access, use, or participate in Kelly Protocol-related services. You must not use VPNs, proxies, false identities, third-party accounts, wallet nominees, address obfuscation, or other means to circumvent geographical restrictions, eligibility screening, or compliance requirements.
Kelly Protocol-related services may require you to connect a blockchain wallet. By connecting your wallet, signing messages, authorizing transactions, invoking smart contracts, or engaging in on-chain interactions, you confirm and agree that:
You are the legitimate controller of the relevant wallet address or have obtained legal authorization to use that wallet;
You are solely responsible for safeguarding your private keys, mnemonic phrases, wallet passwords, device security, and account access permissions;
Kelly Protocol will never ask you for your private keys, mnemonic phrases, or wallet passwords;
Any signatures, authorizations, transactions, contract calls, or on-chain actions initiated from your wallet address are deemed to be initiated by you or by someone you have authorized;
Blockchain transactions, once broadcast or confirmed, are generally irreversible, non-cancellable, and non-modifiable;
You should independently verify the transaction details, scope of authorization, contract address, network environment, gas fees, asset amount, and risks before signing or confirming a transaction.
Kelly Protocol is not responsible for losses caused by your private key leakage, loss of mnemonic phrases, wallet theft, authorization errors, operational mistakes, phishing websites, malicious contracts, device infection, third-party wallet failures, or other causes beyond Kelly Protocol's reasonable control.
Kelly Protocol may operate certain functions through smart contracts, on-chain protocols, decentralized applications, oracles, node services, on-chain data services, or third-party infrastructure.
You understand and agree that:
Smart contracts may contain vulnerabilities, errors, delays, attacks, unforeseen behaviors, or technical failures;
On-chain data is generally publicly visible, including wallet addresses, transaction hashes, timestamps, contract call records, token transfer records, and other public events;
Once confirmed, on-chain transactions generally cannot be unilaterally deleted, modified, reversed, or reversed by Kelly Protocol;
Anyone may view, copy, analyze, or correlate on-chain data through blockchain browsers, on-chain analysis tools, or third-party data platforms;
On-chain data may be retained by third parties for extended periods, and records may persist even after you stop using Kelly Protocol-related services.
You must not submit unencrypted sensitive personal information, identification documents, contact information, private information, or other information you do not wish to be made public on-chain. Consequences arising from your active submission, authorization, or disclosure of such information are your sole responsibility.
Kelly Protocol may provide a prediction ecosystem, cognitive judgment, market observation, data participation, community topics, trend judgment, or other related interactive functions.
You understand and agree that:
The prediction ecosystem is designed to create a cognitive participation entry point, ecosystem interaction mechanism, and on-chain data collaboration scenario;
Any predicted content, topic settings, data displays, AI analyses, community opinions, or result presentations do not constitute investment advice, trading advice, legal advice, financial advice, or tax advice;
Prediction activities should not be construed as gambling, lotteries, betting, securities trading, financial derivative trading, or any regulated financial product, unless specific functions are licensed under applicable law in a particular jurisdiction and explicitly stated as such;
User participation in the prediction ecosystem should be based on their own judgment and at their own risk;
Kelly Protocol does not guarantee the accuracy, completeness, timeliness, or suitability of any prediction results, market judgments, data analyses, user rankings, or AI outputs;
Kelly Protocol has the right to adjust, suspend, terminate, or restrict any prediction ecosystem function based on compliance requirements, risk control rules, technical status, or operational needs.
Users must not use the prediction ecosystem for market manipulation, false dissemination, malicious volume generation, coordinated behavior, misuse of inside information, misleading publicity, illegal betting, fraudulent behavior, or any conduct that violates applicable laws and platform rules.
Kelly Protocol may use an AI cognitive engine, data models, behavior recognition systems, anti-cheat models, risk control systems, or automated analysis tools to analyze user participation behavior, cognitive contribution, ecosystem contribution, on-chain interactions, abnormal activities, or protocol operating data.
Such analysis may be used to:
Identify genuine participation behavior;
Assess ecosystem contribution and cognitive contribution;
Prevent cheating, volume generation, bot attacks, Sybil attacks, and fake accounts;
Optimize protocol mechanisms, product experience, and risk control;
Assist in determining eligibility for points, contribution values, airdrops, referrals, nodes, or activities;
Maintain the security, fairness, and stability of the Kelly Protocol ecosystem.
AI outputs, scores, contribution identification, risk flags, or model judgments may contain errors, biases, delays, or be incomplete. Unless otherwise required by applicable law, Kelly Protocol has the right to adjust, review, or correct relevant results based on risk control, system security, and operational rules.
You must not interfere with the AI cognitive engine, risk control system, or ecosystem contribution assessment through technical means, automated tools, scripts, bots, bulk addresses, fake accounts, forged data, or other methods.
Kelly Protocol may involve KELL, KELP, or other ecosystem tokens. The functions, issuance, distribution, release, use, destruction, circulation, interaction, exchange, or other arrangements of relevant tokens are subject to the official Kelly Protocol whitepaper, token economics documents, smart contracts, sale terms, announcements, and other official documents.
Unless explicitly stated otherwise in official documents, KELL, KELP, or any Kelly Protocol ecosystem tokens:
Do not represent any equity, ownership, debt, profit rights, revenue sharing rights, dividend rights, redemption rights, repayment claims, or other investment-type rights in any company, foundation, association, protocol entity, or legal entity;
Do not constitute securities, fund shares, collective investment scheme shares, bonds, notes, deposits, insurance products, financial derivatives, or any regulated financial instrument;
Do not guarantee price, yield, liquidity, listing, trading depth, future value, or ecosystem usage demand;
Should not be purchased, held, or used for investment, speculation, hedging, profit-making, or financial return purposes.
Before participating in any token-related activities, you should independently assess the relevant legal, tax, financial, technical, market, and compliance risks and consult independent professional advisors where necessary.
If Kelly Protocol conducts community sales, public sales, private placements, node subscriptions, ecosystem quotas, early participation plans, or other token-related sale activities, such activities will be governed by independent sale terms, risk disclosures, eligibility rules, KYC/AML requirements, and other formal documents.
By participating in a sale activity, you confirm that:
You meet the eligibility requirements and are not from a Restricted Jurisdiction or a restricted person;
You have read and understood the relevant sale terms, risk disclosures, and token documentation;
Your participation does not violate any applicable law;
The funds you use are from legitimate sources;
You understand that participation may involve significant risks, including the total loss of invested funds;
You will not interpret any sale pages, announcements, community content, or promotional materials as investment advice, financial promotion, yield promise, or purchase recommendation.
Kelly Protocol has the right to require you to complete identity verification, anti-money laundering checks, sanctions screening, accredited investor confirmation, risk assessments, or other compliance procedures. Users who fail relevant reviews may not be able to participate in sales, receive tokens, or use certain functions.
Kelly Protocol may, at its sole discretion, conduct one or more airdrop activities to distribute KELL, KELP, or other ecosystem tokens, digital assets, rights vouchers, or ecosystem rewards.
Airdrop activities are subject to this Agreement, Airdrop Rules, activity announcements, eligibility criteria, and other applicable documents.
You understand and agree that:
Participation in airdrops is entirely voluntary and at your own risk;
Meeting certain conditions, completing certain tasks, holding certain points, ranking high, or participating in community activities does not guarantee that you will receive an airdrop;
Kelly Protocol has the sole discretion to decide whether to conduct an airdrop, the airdrop recipients, eligibility criteria, distribution amounts, release times, claim methods, and final interpretation rules;
Kelly Protocol has the right to modify, suspend, cancel, postpone, or terminate any airdrop activity at any time;
Kelly Protocol may disqualify users based on anti-cheat, anti-Sybil, anti-volume, compliance review, sanctions screening, geographical restrictions, or risk control;
Airdropped tokens may be subject to technical risks, contract risks, market risks, liquidity risks, regulatory risks, and risk of total loss;
No airdrop constitutes investment advice, financial promotion, yield promise, employment relationship, agency relationship, fiduciary relationship, or compensation arrangement.
Kelly Protocol is not responsible if users are unable to claim airdrops due to lost private keys, inaccessible wallets, incorrect address entry, on-chain congestion, smart contract errors, third-party wallet failures, phishing links, or failure to follow rules.
Kelly Protocol may establish points, contribution values, cognitive scores, community activity levels, node contribution records, leaderboards, Mindshare, task points, or other similar metrics.
Unless explicitly stated otherwise in official rules:
Points, contribution values, leaderboard rankings, cognitive scores, and similar metrics have no monetary value, cash value, or redeemable value;
They may not be sold, traded, transferred, pledged, exchanged, or swapped;
They do not entitle a user to any right to receive KELL, KELP, airdrops, cash, goods, services, yields, equity, or other benefits;
They do not constitute financial instruments, investment products, gambling, lotteries, sweepstakes, contest prizes, or any form of compensation;
They serve only as reference indicators of user participation, ecosystem contribution, social reputation, cognitive engagement, and community activity.
Kelly Protocol has the sole discretion to determine the calculation method, display method, validity period, adjustment method, clearing rules, eligibility restrictions, and scope of use for points and contribution values. Kelly Protocol may also modify, suspend, or terminate the points program at any time without prior notice.
Users must not obtain points, contribution values, or rankings through bots, bulk accounts, fake invitations, reciprocal volume generation, scripts, malicious interactions, duplicate registrations, forged data, leaderboard manipulation, or other improper means.
Kelly Protocol may introduce a referral program, invitation program, community dissemination program, node expansion program, or other ecosystem co-building programs. Participation in the referral program is entirely voluntary.
Participation in the referral program does not constitute an employment, agency, partnership, joint venture, trust, representative, authorized sales, or labor relationship between you and Kelly Protocol. You must not promote yourself as a Kelly Protocol employee, agent, representative, official salesperson, or authorized consultant unless separately authorized in writing by Kelly Protocol.
Referrers must ensure that their disseminated content:
Is truthful, accurate, fair, and not misleading;
Does not promise, imply, or guarantee any yield, price appreciation, investment return, principal protection, guaranteed profit, or fixed distribution;
Does not constitute investment advice, financial promotion, securities offering, illegal marketing, or misleading advertising;
Does not exaggerate the value of Kelly Protocol, KELL, KELP, the prediction ecosystem, the AI cognitive engine, node rights, or any tokens;
Does not violate applicable laws, advertising rules, consumer protection rules, financial services regulations, platform rules, or community norms;
Does not harm the reputation of Kelly Protocol, related entities, ecosystem organizations, partners, or the community.
Kelly Protocol does not review, approve, endorse, or assume responsibility for content published independently by referrers. Any disputes, claims, or losses arising from a referrer's improper publicity, false promises, misleading expressions, or illegal promotion are the sole responsibility of that referrer.
Kelly Protocol has the right to modify, suspend, restrict, or terminate the referral program at any time and disqualify users who violate the rules.
Kelly Protocol may establish global nodes, community nodes, ecosystem nodes, service nodes, education and training centers, regional communities, or other co-building organizations. Node rules, rights descriptions, participation requirements, assessment standards, incentive arrangements, transfer restrictions, and exit mechanisms are subject to the official Kelly Protocol node documents, activity rules, or written agreements.
You understand and agree that:
Node status does not itself constitute equity, agency rights, management rights, employment relationship, profit rights, or legal representative relationship;
Node rights may change based on ecosystem development, rule adjustments, compliance requirements, or operational needs;
Node rewards, dividends, subsidies, contribution incentives, or other arrangements, if any, are subject to official rules and actual execution results;
Nodes must not make unauthorized promises, publicity, guarantees, yield explanations, or legal statements externally;
Nodes must not engage in illegal fundraising, illegal aggregation of funds, fraudulent publicity, financial promotion, pyramid schemes, misleading sales, or other violations in the name of Kelly Protocol.
Kelly Protocol has the right to suspend, restrict, cancel, or adjust node eligibility based on node conduct, compliance requirements, community feedback, contribution status, risk control, or rule violations.
Kelly Protocol-related services may contain or link to third-party services, including but not limited to:
Wallet service providers;
Trading platforms;
Blockchain explorers;
KYC/AML service providers;
Cloud service providers and node service providers;
Data analysis platforms;
Oracle services;
Social media platforms;
Community tools;
Activity platforms;
Payment, custody, fiat on/off-ramp, or other external services.
Third-party services are operated independently by the respective third parties and are subject to their own terms of service, privacy policies, fee rules, risk control rules, and compliance requirements. Kelly Protocol does not control third-party services and makes no warranties regarding their availability, accuracy, security, legality, continuity, or service results.
When using third-party services, you should independently review and accept the relevant third-party terms. Kelly Protocol is not responsible for losses caused by third-party service interruptions, errors, hacking attacks, asset losses, data breaches, fraudulent conduct, KYC failures, account freezes, transaction delays, or other issues, unless otherwise required by applicable law.
You agree to comply with all applicable laws, regulatory requirements, this Agreement, and related rules when using Kelly Protocol-related services. You must not engage in the following conduct:
Using Kelly Protocol services for any illegal, fraudulent, misleading, money laundering, terrorist financing, sanctions evasion, market manipulation, or other illegal activities;
Impersonating others, falsifying identities, stealing wallets, falsely registering, submitting false information, or bypassing identity verification;
Using bots, scripts, crawlers, bulk wallets, fake accounts, automated tools, or other methods to undermine fair participation;
Attacking, interfering with, scanning, destroying, reverse engineering, attempting to bypass, or gaining unauthorized access to Kelly Protocol systems, smart contracts, servers, interfaces, or data;
Uploading, disseminating, or submitting viruses, malicious code, phishing links, fraudulent information, illegal content, infringing content, or harmful content;
Using Kelly Protocol for unauthorized financial promotion, yield promises, illegal fundraising, pyramid schemes, money laundering, or fraudulent publicity;
Infringing upon the intellectual property rights, privacy rights, reputation rights, trade secrets, or other legal rights of Kelly Protocol, users, partners, or third parties;
Posting false, misleading, defamatory, offensive, harassing, discriminatory, hateful, violent, obscene, illegal, or inappropriate content;
Circumventing geographical restrictions, KYC/AML checks, sanctions screening, risk control systems, or eligibility restrictions;
Engaging in any conduct that Kelly Protocol reasonably believes may harm protocol security, community fairness, ecosystem order, or project reputation.
If you violate this Agreement, Kelly Protocol has the right to take measures including, but not limited to, warnings, function restrictions, access suspension, disqualification, freezing of activity participation, cancellation of points, cancellation of airdrop eligibility, termination of services, and reporting to regulatory or law enforcement agencies.
You may submit, post, upload, send, or display content when using Kelly Protocol-related services, including but not limited to text, images, comments, nicknames, social information, wallet addresses, community opinions, prediction opinions, feedback, suggestions, files, or other information.
You warrant that you have legal rights to the content you submit, that such content does not infringe upon any third-party rights, and does not violate any applicable laws or platform rules.
You grant Kelly Protocol a worldwide, non-exclusive, royalty-free, reproducible, usable, displayable, transmittable, modifiable, storable, and analyzable license to use the content for providing services, maintaining systems, displaying community content, improving products, conducting risk control, handling disputes, and fulfilling legal obligations.
Kelly Protocol has the right to delete, hide, restrict, flag, or refuse to display any user content based on legal requirements, community rules, risk control needs, or operational judgment.
The Kelly Protocol-related websites, documents, interfaces, code, protocol design, trademarks, logos, visual elements, copy, graphics, databases, models, system architecture, product names, technical documentation, and other content, excluding user content or third-party content, are owned or legally licensed by Kelly Protocol or the relevant rights holders.
Without the prior written permission of Kelly Protocol, you may not copy, modify, distribute, sell, rent, reverse engineer, publicly display, sublicense, create derivative works, or otherwise use Kelly Protocol's intellectual property, except as permitted by applicable open-source licenses or law.
Kelly Protocol may use, modify, adopt, develop, or commercialize any feedback, suggestions, ideas, optimization opinions, or product comments you submit to Kelly Protocol without any compensation to you.
You understand and accept that using Kelly Protocol-related services involves significant risks, including but not limited to:
Risk of extreme price volatility of digital assets;
Risk of insufficient market liquidity;
Risk of total loss of invested funds;
Risk of smart contract vulnerabilities, hacking attacks, system failures, or technical failures;
Risk of loss of wallet private keys, leakage of mnemonic phrases, authorization errors, or operational mistakes;
Risk of blockchain congestion, transaction failures, gas fee fluctuations, or network forks;
Risk of oracle errors, data delays, or third-party infrastructure failures;
Risk of AI model misjudgment, data bias, risk control errors, or inaccurate analysis results;
Risk of regulatory policy changes, legal restrictions, enforcement actions, or changing compliance requirements;
Risk that tokens may not be listed, may be delisted, may be untradeable, may lack liquidity, or may become worthless;
Risk of project roadmap delays, function changes, ecosystem construction falling short of expectations, or project failure;
Risks caused by third-party service providers, wallets, exchanges, nodes, community platforms, or external systems.
You should participate cautiously based on your own risk tolerance. You must not invest funds you cannot afford to lose.
Any content provided by Kelly Protocol, including but not limited to official website information, whitepapers, community content, predictive data, AI analyses, market opinions, charts, activity descriptions, token models, node descriptions, social media content, or third-party information, is for general information, technical description, ecosystem introduction, or community interaction purposes only.
No content constitutes:
Investment advice;
Financial advice;
Legal advice;
Tax advice;
Accounting advice;
Securities offering;
Advice to buy, sell, or hold any asset;
Yield promise;
Price prediction;
Principal protection or return guarantee.
You should make your own independent judgments and consult professional advisors where necessary.
You are solely responsible for determining, filing, and paying any taxes, filing obligations, or compliance responsibilities arising from your use of Kelly Protocol-related services, participation in sales, claiming of airdrops, receipt of tokens, transfer of digital assets, participation in nodes, or other activities.
Kelly Protocol does not provide tax advice and is not responsible for your tax treatment, filing results, tax losses, penalties, or disputes.
Kelly Protocol will process your personal data in accordance with the Kelly Protocol Privacy Policy. By using Kelly Protocol-related services, you signify that you have read and understood the Privacy Policy.
In certain circumstances, to provide services, complete compliance reviews, verify eligibility, process airdrops, perform risk control, maintain security, or fulfill legal obligations, Kelly Protocol may need to collect, use, store, or share some of your personal data.
If you refuse to provide necessary data, you may be unable to use some services, participate in activities, complete KYC/AML reviews, claim tokens, or obtain relevant eligibility.
Kelly Protocol has the right to modify, suspend, restrict, or terminate all or part of its services at any time due to technology upgrades, operational arrangements, market conditions, compliance requirements, security incidents, third-party service changes, or other reasons.
Kelly Protocol does not guarantee that related services will be continuously available, error-free, uninterrupted, delay-free, or completely secure.
Kelly Protocol may restrict, suspend, or terminate your use of services under the following circumstances:
You violate this Agreement or related rules;
You do not meet eligibility requirements;
You are located in a Restricted Jurisdiction;
You fail KYC/AML or other compliance reviews;
You are suspected of fraud, volume generation, malicious attacks, money laundering, sanctions evasion, or other risky conduct;
Measures are required by law, regulation, court order, law enforcement request, or compliance requirements;
Kelly Protocol reasonably believes your conduct may harm ecosystem security, community fairness, or project reputation.
Service termination does not affect rights and obligations arising prior to termination, nor does it affect provisions in this Agreement regarding risk assumption, liability limitations, indemnification, intellectual property, dispute resolution, and other provisions that should continue to survive.
Kelly Protocol-related services are provided on an "as is," "as available," "in development," and "with all faults" basis.
To the maximum extent permitted by applicable law, Kelly Protocol makes no express or implied warranties, including but not limited to:
Fitness of services for a particular purpose;
Continuous availability, timeliness, security, error-free operation, or uninterrupted nature of services;
Complete accuracy, reliability, or freedom from bugs of smart contracts, AI models, prediction data, points systems, or node systems;
That any tokens will have a specific value, liquidity, listing opportunity, usage demand, or future development;
That any roadmap, ecosystem planning, function deployment, cooperation plan, or commercial goal will be achieved;
The security or reliability of third-party services, external links, wallets, exchanges, data sources, or infrastructure.
Your use of Kelly Protocol-related services is entirely at your own risk.
To the maximum extent permitted by applicable law, Kelly Protocol and its affiliates, officers, members, employees, advisors, contractors, service providers, partners, and agents shall not be liable for any direct, indirect, incidental, special, punitive, consequential, or similar losses arising from:
Your use or inability to use Kelly Protocol-related services;
Price volatility, lack of liquidity, or loss of value of digital assets;
Wallet theft, loss of private keys, authorization errors, or operational mistakes;
Smart contract vulnerabilities, hacking attacks, network attacks, or system failures;
Blockchain network congestion, forks, reorganizations, gas fee changes, or transaction failures;
Third-party service failures, exchange issues, wallet problems, or data source errors;
Inaccuracy of AI analyses, prediction results, points rankings, contribution identification, or risk control judgments;
Changes in laws, regulations, policies, or market conditions;
Your violation of this Agreement, laws, or third-party terms;
Any event reasonably beyond Kelly Protocol's control.
If applicable law does not allow the complete exclusion of liability, Kelly Protocol's liability shall be limited to the minimum extent permitted by law.
If, due to your violation of this Agreement, violation of applicable laws, infringement of third-party rights, misuse of Kelly Protocol services, submission of false information, misleading publicity, violation of referral rules, compromise of system security, or other improper conduct, Kelly Protocol, its affiliates, partners, employees, advisors, service providers, or other users suffer any claims, losses, liabilities, expenses, fines, penalties, or attorneys' fees, you agree to indemnify, defend, and hold harmless the relevant parties.
Kelly Protocol is not liable for service delays, interruptions, failures, or losses caused by events reasonably beyond Kelly Protocol's control.
Force majeure events include, but are not limited to, natural disasters, war, terrorist attacks, riots, government actions, regulatory changes, court orders, hacking attacks, large-scale network failures, blockchain network failures, exchange failures, cloud service interruptions, power outages, communication interruptions, epidemics, labor disputes, or other unforeseeable, unavoidable, or insurmountable events.
Kelly Protocol has the right to modify this Agreement from time to time based on business development, legal and regulatory changes, technology upgrades, compliance requirements, or operational needs.
The modified Agreement will be published on the official website, DApp, announcement page, or other appropriate channels and will become effective on the date of publication unless otherwise stated.
If you continue to use Kelly Protocol-related services after the Agreement is updated, you signify your acceptance of the updated Agreement. If you do not agree to the updated content, you must immediately stop using the related services.
The formation, validity, interpretation, performance, dispute resolution, and other related matters of this Agreement shall be governed by the laws of [Please insert governing law, e.g., Singapore law, Swiss law, British Virgin Islands law, Hong Kong law, or other law] , without regard to its conflict of laws principles.
If mandatory laws of your jurisdiction provide otherwise, such mandatory provisions may still apply.
Any dispute arising out of or relating to this Agreement, Kelly Protocol-related services, token activities, node activities, airdrops, referral programs, or other related matters shall first be resolved through friendly negotiations between the parties.
If negotiations fail to resolve the dispute, either party may submit the dispute to [relevant legal body/location] for arbitration in accordance with its arbitration rules then in effect. The arbitral award shall be final and binding on both parties.
To the maximum extent permitted by applicable law, you agree to bring claims only in your individual capacity and not as a member of any class action, representative action, class arbitration, or similar proceeding against Kelly Protocol.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be modified or deleted to the minimum extent necessary, without affecting the validity and enforceability of the remaining provisions of this Agreement.
This Agreement and the documents incorporated by reference constitute the entire agreement between you and Kelly Protocol regarding the use of the related services and supersede all prior oral or written communications, understandings, or agreements regarding such matters.
You may not assign, transfer, or delegate any rights or obligations under this Agreement without the prior written consent of Kelly Protocol.
Kelly Protocol may assign or transfer its rights and obligations under this Agreement to an affiliate, successor, or transferee in the event of a business reorganization, merger, acquisition, asset transfer, entity restructuring, ecosystem migration, or other circumstances permitted by law.
